ABOUT THE ROLE
Cloudware is seeking to employ a Legal and Compliance Officer. This role is for a Lawyer with at least 4 – 7 years post call-to-bar experience with good knowledge of Company and Commercial Law, an understanding of the Regulatory Environment primarily in Ghana, and the ability to work across jurisdictions. This role will advise on all aspects of internal and external legal affairs of the Company and its subsidiaries/affiliates including expansion to new jurisdictions. This role will also be involved in ensuring the Company and its subsidiaries/affiliates comply with all relevant regulatory requirements. The candidate should preferably have working experience with an internationally ranked law firm or in an In-house capacity, combined with dispute resolution expertise.
QUALIFICATION/PROFESSIONAL MEMBERSHIP
- Bachelor’s degree in Law
- Called to the Ghanaian Bar (Membership of the Ghana Bar Association)
- Masters’ Degree (added advantage)
- ICSA and ADR Certification(s) (added advantage)
MINIMUM EXPERIENCE
- Minimum of 4-7 years’ posy Call to Bar experience
REQUIRED KNOWLEDGE, SKILL & COMPETENCE
- Good knowledge of regulatory laws pertaining to companies generally.
- Good knowledge of regulatory laws pertaining to IT Companies particularly.
- Good knowledge of General Common Law and Company Law principles to understand legal requirements in other jurisdictions outside Ghana
- Good knowledge of corporate governance principles.
- Good understanding of Commercial Law generally for effective review of legal agreements.
- Knowledge of the processes required for incorporation and restructuring of companies.
- Knowledge of laws and regulations which may impact the activities of the company and its subsidiaries/affiliates
FUNCTIONS & RESPONSIBILITIES
- Seeing to compliance with all regulatory requirements and ensuring regulatory documents/certificates are up to date.
- Drafting and review of various kinds of contracts including Partnership Agreements, Service Level Agreements, Contract Purchase Agreements, Non-Disclosure Agreements and so on.
- Advise the organization on Corporate Restructuring activities.
- Be involved in incorporation of new entities across several jurisdictions and ensuring their compliance with relevant Doing Business requirements in those jurisdictions.
- Monitoring the legal environment and any changes therein in order to advise the organization on impact/compliance with same.
- Be involved in corporate governance and company secretarial activities within the organization and its subsidiaries/affiliates.
- Analyse the actions and decisions of the Company and its affiliates in order to identify possible problem areas, suggest alternative course of action and mitigate risk as much as possible.
- Engage with External Legal Counsel whenever they are engaged to carry out assignments on behalf of the Company and its affiliates.
- Attend meetings on behalf of the Company and its affiliates along with team members.
- Present workable recommendations to the Legal & Compliance Manager and the Management.
